Terms of Service

1. Services

Vantage (“we”, “us”, “our”) provides managed AI-powered business automation systems, including but not limited to: AI lead qualification and response, WhatsApp Business automation, appointment booking and scheduling, no-show reduction sequences, dead lead reactivation, CRM management, and performance reporting. Services are provided on a monthly retainer basis.

We may expand or modify the specific services offered over time. Any material changes to services provided under an active agreement will be communicated in advance.

2. Setup and Payment

A one-time setup fee is required to begin service. Monthly retainer payments are due on the first of each billing cycle. All fees are quoted in AED (United Arab Emirates Dirham). Payment terms are net 7 days from invoice date.

If payment is not received within 14 days of the due date, we reserve the right to suspend service until the account is brought current. Reactivation after suspension may incur an additional setup charge.

Our services utilise artificial intelligence to process messages, generate responses, qualify leads, and automate communications on your behalf. By engaging our services, you acknowledge that:

4. Guarantee

We guarantee 15 booked appointments within the first 30 days of service. If this target is not met, the first month’s retainer will be refunded in full. The setup fee is non-refundable as it covers real implementation work.

This guarantee is conditional. It requires that you: (a) provide system access and complete onboarding within 48 hours of kickoff, (b) maintain an active WhatsApp Business account throughout the period, and (c) respond to our onboarding requests in a timely manner. Appointments must be from qualified leads relevant to your business. This guarantee applies to the initial 30-day period only.

Either party may cancel the service with 30 days written notice. Upon cancellation:

7. Data, Confidentiality, and AI Processing

We treat all client data as confidential. We will not share your business data, contact lists, or conversation logs with third parties except as required to operate the service (e.g., cloud infrastructure, AI processing providers, scheduling platforms).

Data processed by our AI systems — including messages, lead information, and booking records — is used solely for service delivery and system optimisation. We do not use your data to train AI models for other clients or third parties.

8. Intellectual Property

All systems, workflows, automations, and AI configurations built by Vantage remain the intellectual property of Vantage. You are granted a non-exclusive licence to benefit from these systems for the duration of your service agreement. Your business data, branding, and content remain your property at all times.

9. Limitation of Liability

Our total liability is limited to the fees paid by you in the 3 months preceding any claim. We are not liable for:

You agree to indemnify Vantage against claims arising from: (a) contact lists provided without appropriate consent, (b) inaccurate business information that results in misleading AI communications, or (c) your violation of applicable laws or regulations.

We may update these terms to reflect changes in our services, technology, or legal requirements. Material changes will be communicated via email at least 14 days before they take effect. Continued use of services after changes take effect constitutes acceptance.

12. Governing Law and Disputes

These terms are governed by the laws of the United Arab Emirates, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Any disputes shall be resolved in the courts of Dubai, UAE. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.
