1. About Vantage

Vantage (also referred to as “Vantage Flow”) is a brand currently operated by its founders Ivan Kruger and [redacted]in personal capacity, pending incorporation of a dedicated legal entity. Upon registration of that entity, all rights, obligations, and active client agreements will be assigned to the registered entity automatically per the assignment clauses in each agreement; clients will be notified at that time. References to “Vantage”, “we”, “us”, and “our” refer to the founders during the pre-registration period and to the registered entity thereafter.

Vantage provides managed business automation services for Dubai service businesses, including clinics, covering: lead qualification and response, WhatsApp Business automation, consultation booking and scheduling, no-show reduction sequences, dead-lead reactivation, CRM management, and performance reporting. Services are delivered on a monthly retainer basis.

We may expand or modify the specific services offered over time. Any material changes to services provided under an active agreement will be communicated in advance.

2. Setup and Payment

A one-time setup fee is required to begin service. Monthly retainer payments are due on the first of each billing cycle. All fees are quoted in AED (United Arab Emirates Dirham). Payment terms are net 7 days from invoice date.

If payment is not received within 14 days of the due date, we reserve the right to suspend service until the account is brought current. Reactivation after suspension may incur an additional setup charge.

3. Automated Communication Systems

Our services use software automation to process messages, generate responses, qualify leads, and book consultations on your behalf. By engaging our services, you acknowledge that:

4. Guarantee

We guarantee 15 qualified booked consultations within the first 30 days of active lead generation at the Growth tier (10 at Convert tier; 25 at Scale tier). A qualified booked consultation means a confirmed date and time with a prospective patient or client for a specific service, generated by the Vantage system and recorded in the CRM. If this target is not met, the first month’s retainer will be refunded in full. The setup fee is non-refundable as it covers real implementation work.

This guarantee is conditional. It requires that you: (a) provide system access and complete onboarding within 48 hours of kickoff, (b) maintain an active WhatsApp Business account throughout the period, (c) respond to leads routed by our system within 4 business hours, and (d) approve creative, copy, and configurations within 48 hours of request. Consultations must be from qualified leads relevant to your business. This guarantee applies to the initial 30-day period only.

Either party may cancel the service with 30 days written notice. Upon cancellation:

We treat all client data as confidential. We will not share your business data, contact lists, or conversation logs with third parties except as required to operate the service (e.g., cloud infrastructure, processing providers, scheduling platforms).

Data processed by our systems, including messages, lead information, and booking records, is used solely for service delivery and system optimisation. We do not use your data to train models for other clients or third parties.

8. Intellectual Property

All systems, workflows, automations, and configurations built by Vantage remain the intellectual property of Vantage (and, upon registration, the registered legal entity). You are granted a non-exclusive licence to benefit from these systems for the duration of your service agreement. Your business data, branding, and content remain your property at all times.

9. Limitation of Liability

Our total liability is limited to the fees paid by you in the 3 months preceding any claim. We are not liable for:

You agree to indemnify Vantage against claims arising from: (a) contact lists provided without appropriate consent, (b) inaccurate business information that results in misleading automated communications, or (c) your violation of applicable laws or regulations.

11. Modifications to Terms

We may update these terms to reflect changes in our services, technology, or legal requirements. Material changes will be communicated via email at least 14 days before they take effect. Continued use of services after changes take effect constitutes acceptance.

12. Governing Law and Disputes

These terms are governed by the laws of the United Arab Emirates, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Any disputes shall be resolved in the courts of Dubai, UAE. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.
